Terms of Service
Effective date: October 17, 2026. Last updated: October 17, 2026.
These terms cover River City Reminders, LLC ("River City Reminders," "we," "us"), a Virginia limited liability company, and the contractors who sign up for our service ("you"). By starting a trial or a paid plan, you agree to these terms. If you also sign a written service agreement with us, that agreement controls where the two differ.
1. What we do
We send invoice and payment reminders to your customers on your behalf and in your business's name, using templates and a schedule you approve. Reminders go by email, and by text on plans that include texting, only to customers who agreed to get texts. We send you a weekly summary of what was sent, what was paid, and which invoices need your personal attention.
We do not collect or hold payments, negotiate settlements, offer payment plans for you, report to credit bureaus, threaten or start legal action, or give legal or tax advice. We are not a collection agency.
2. You are the creditor
You own every invoice. Your customers owe you, not us. You are responsible for the accuracy of your invoices and amounts, and we send the exact open balance shown in your records. You approve every template and schedule before we use it, and we never send anything you haven't approved. If a customer disputes an invoice or asks about the work or a payment plan, we pause reminders on that invoice and pass the message to you.
3. Overdue invoices and handoff
For homeowner invoices, we stop reminders once an invoice reaches the default date you choose (30, 60, or 90 days past due) and hand it back to you. What happens next is your decision. We take no fees or commissions from any collection agency or law firm.
4. Access to your systems
Any access you give us to QuickBooks Online or other accounting software is read-only wherever the system allows it. We never create, edit, or delete your invoices, customers, or payments, and we never move money. Your customers pay you directly. You can remove our access at any time, which pauses the service.
5. Text messaging
On plans with texting, you agree to text only customers who gave consent, and to keep a record of that consent. You authorize us to register and verify a text-messaging number in your business's legal name, using your business information, including your EIN, so texts go out as your own billing messages. Every text includes opt-out instructions, and we stop texting a number right away after a STOP reply. See our Text Message Terms Terms of Service.
6. Your data
Your invoice and customer data is confidential and used only to provide the service to you. We keep each contractor's data separate, never share it with other contractors, and never sell or rent it. We share it only with service providers who help us run the service, as described in our Privacy Policy. After you cancel, we delete or return your data within 30 days, except records we must keep by law, such as the log of reminders sent and opt-outs.
7. Plans, trial, and billing
Plans are Starter ($149 a month, up to 25 open invoices, email reminders), Standard ($249 a month, up to 75 open invoices, email and text reminders), and Pro ($399 a month, unlimited open invoices, email and text reminders). Every plan starts with a 14-day free trial. A card is required at sign-up, and your first charge happens when the trial ends unless you cancel first. After that, we bill monthly in advance. There's no setup fee, and we never charge a percentage of what your customers pay. If you go over your plan's invoice limit two months in a row, we'll tell you before moving you to the next plan. We may change prices with 30 days' notice, and you can cancel before a change takes effect.
8. Cancellation
Plans are month to month, and you can cancel anytime by emailing us. Cancellation takes effect at the end of your current paid month, or right away if you ask us to stop sooner. If you cancel in your first paid month, we refund that month's fee. We may suspend or end service if we reasonably believe continuing would break the law or these terms.
9. Compliance
We both agree to follow the laws that apply to payment reminders, including the Telephone Consumer Protection Act, CAN-SPAM, the Fair Debt Collection Practices Act where it applies, and Virginia law. You agree to tell us promptly about payments made outside your accounting software, disputes, bankruptcies, payment plans, and customers who asked not to be contacted.
10. Limitation of liability
We provide the service with reasonable care, but we don't promise that any customer will pay or that every reminder will be delivered or read. Neither of us is liable to the other for indirect or lost-profit damages. Our total liability is limited to the fees you paid us in the 12 months before the claim.
11. Governing law
These terms are governed by the laws of the Commonwealth of Virginia. Any lawsuit will be brought in the courts of Nottoway County, Virginia.
12. Changes and contact
We may update these terms and will post the new version here with a new effective date. Questions? Call (804) 689-3322 or email dustin@rivercityreminders.com.
